It is the intent of the City of Philadelphia to make an award for Maintenance and Repair Uninterrupted Power Supply Equipment for the Philadelphia Prison System as specified herein during the contract period. Successful seller shall provide the City of Philadelphia's Prison System with Maintenance Support (7 days/24hrs) for Uninterrupted Power Supply (UPS) Equipment in accordance with Section 2 and the PHL Contracts Items Tab of this Bid Solicitation. In order to be eligible to sell Services, Supplies and Equipment, all vendors must be enrolled in the City's Annual Bid Security Program. The City is not liable for the award involving following fiscal years' funds until such orders are issued. The obligation to deliver on such purchase orders shall not take effect until the orders are issued. To simplify the contract procedure, however, the successful seller(s) will be required to furnish an Individual Performance Bond or Performance Security Fee to cover units awarded to them. CONTRACT TERM: Date of the Award through One (1) Year, with an option to renew for up to three (3) additional one (1) year periods, exercisable, at the City's sole discretion, as of the expiration of the Initial Term or the current Renewal term. The City may, at its sole discretion, renew the contract for up to three (3) months at the beginning of each renewal period(s), if a decision has been made not to renew the contract for an entire year. The City, however, reserves the right to accept or reject the letter and to acquire the supplies or materials in the open market.
