Site work and paving for a road / highway in Troy, New York. Completed plans call for site work for a road / highway; and for paving for a road / highway.
Subject to the right of the City of Troy to reject any and all bids. Owner and Contractor recognize that time is of the essence of this Agreement and that Owner will suffer loss, financial and otherwise, if the Work is not completed within the times specified by this agreement, plus any allowed extensions. Owner and Contractor also recognize the delays, expenses, and difficulties involved in proving the actual loss suffered by Owner if the Work is not completed on time. Therefore, instead of requiring such proof, Owner and Contractor agree that as liquidated damages for delay (but not as a penalty), Contractor shall pay Owner Five Hundred Dollars ($ 500.00) for each day that expires after the time specified in paragraph 7.0 for Substantial Completion until the Work is substantially complete. After Substantial Completion, if Contractor shall neglect, refuse, or fail to complete the remaining Work within the time specified in paragraph 7.0 for completion and readiness for final payment or any proper extension thereof granted by Owner, Contractor shall pay Owner Five Hundred Dollars ($500.00) for each day that expires after the time specified in paragraph 7.0 for completion and readiness for final payment. These amounts are not assessed as a penalty, but as liquidated damages for prolonged inconvenience accruing to the Owner and its constituents.
