PURPOSE AND BACKGROUND The purpose of this Invitation for Bids (IFB) and any resulting contract award is to solicit offers for a qualified vendor to provide labor, materials, and the equipment necessary to perform a comprehensive preventive maintenance on the listed Chillers, Condensers, Air Handlers, Unitary Package Systems and Cooling Towers at the University of North Carolina School of the Arts that are identified in Section 5 of this IFB. Bids shall be submitted in accordance with the terms and conditions of this IFB and any addenda issued hereto. CONTRACT TERM The Contract shall have an initial term of one (1) year, beginning on the date of contract award (the "Effective Date"). At the end of the Contract's current term, the State shall have the option, in its sole discretion, to renew the Contract on the same terms and conditions for up to a total of two additional one-year terms. The State will give the Vendor written notice of its intent whether to exercise each option no later than thirty (30) days before the end of the Contract's then-current term. In addition, the State reserves the right to extend a contract term for a period of up to 180 days in 90-day-or-less increments. UNCSA Procurement Director and Facilities Management may decline the option to extend the contract by notifying the Service Company in writing ninety (90) days before the contract renewal date. During the life of the Agreement, UNCSA may terminate the contract at any time, by giving ninety (90) days advance notice in writing. During the life of the Agreement, the Service company may terminate the contract with ninety (90) days advance written notice, if not coincidental with contract renewal date. All costs associated with this Contract shall be fixed for full period of the Contract. The successful bidder may not use subcontractors during the life of the contract.
