If liquidated damages are specified as a rate per unit of time (e.g., per day), the amount to be paid or withheld shall be calculated by multiplying that rate by the number of units of time that the PROJECT remains uncompleted after expiration of the CONTRACT TIME. However, after substantial completion, liquidated damages stop accruing, but CONTRACTOR must pay to OWNER (and OWNER may withhold from any sums otherwise due to CONTRACTOR) any out-of-pocket items that OWNER may incur after substantial completion (or expiration of the CONTRACT TIME, if later) until completion. Such out-of-pocket items include, but are not limited to: (a) increased expenses of maintaining or operating the PROJECT (including third-party damages and claims) in uncompleted condition; (b) expenses of inspecting the PROJECT or visiting the site to observe progress or quality of the WORK, including "punch list" and other items required for completion; (c) expenses of administering this AGREEMENT and other PROJECT-related contracts; (d) expenses of enforcing this AGREEMENT and other PROJECT-related contracts (including engineering and attorney fees); and (e) revenues lost by OWNER, or additional costs incurred by OWNER, because of such late completion. The Owner reserves the right to reject any or all bids and to waive bid irregularities as the interest of the Owner may require. The Owner may award on any base bid, any alternate or any combination thereof. The basis of award shall be as specified by state law for the type of contract and type of awarding entity; see, e.g. Section 49.273, Texas Water Code (multiple factors). When alternate bids are allowed, consideration and selection will be based on the needs of the Owner.
