All bids shall be subject to the conditions in the Competitive Bid Law for the State of Alabama. Bids submitted which do not conform to the requirements hereof, or wherein the specifications have been changed, will be subject to rejection on the grounds of not conforming to specifications as herein contained. All bids shall be reviewed for conformance to the specifications by the City Projects Manager. No inquiry received within (5) days of the specified bid opening shall be given consideration. If forwarding by mail the sealed envelope containing the proposal must be enclosed in a covering envelope addressed as specified. Any proposals may be withdrawn prior to the scheduled time for the public sealed bid opening. Proposals must be submitted on proposal forms and in accordance with the instructions to proposals furnished by the City Clerk. The defined terms appearing in the specifications apply to all contract documents. Copies of the proposal forms are attached hereto. Proposals will be publicly opened and read aloud in the City Council Chambers at Evergreen City Hall, 355 East Front St., Evergreen, Alabama. The selected proposing firm will be awarded the contract by the Evergreen City Council. A bid bond or certified check must accompany the proposal in accordance with the instructions to proposing firms. All bonds, sureties, and/or certified checks shall be made payable to the City of Evergreen in the amount of 5% of the value of the first year of the total contract. Checks and bonds will be returned promptly after the City and the selected firm has executed the contract, or, if no proposal has been selected within (30) days after the date of the sealed bid opening, or upon demand of the proposing firm at any time thereafter conditional that notification has been provided by the City of acceptance of the proposal. A performance bond is required in the amount equal to the contract term of (3) years and shall accompany the contract. The proposing firm shall provide a Letter of Intent to Provide a Performance Bond by a corporate surety authorized to conduct business in the State of Alabama stating that a performance bond will be furnished with the contract documents. The letter shall be signed by an authorized representative of the surety with a certified power of attorney attached thereto. The performance bond serves as security of faithful performance of service by the proposing firm. The premium for the performance bond shall be paid by the contractor. A certificate from the surety shall be provided with the performance bond indicating bond premiums have been paid in full. A nondiscrimination statement shall be submitted with the proposal. The Contractor shall not discriminate against any person regardless of race, sex orientation, gender identification, age, creed, native language, color, religion, national origin, disability, or any characteristic protected by law. The proposing firm shall submit an indemnification statement including hold harmless: all officers, agents, servants, and employees from and against any and all suits, actions, legal proceedings, claims, demands, costs, expenses, and attorney's fees to the extent resulting from a willful or negligent act or omission of the contractor, its officers, agents, servants, and employees in the performances of the contract; provided, however, that the contractor shall not be liable for any suits, actions, legal proceedings, claims, demands, damages, costs, expenses, and attorney's fees arising out of the award of this contract or a willful or negligent or omission of the City of Evergreen, its officers, servants, and employees. In the case of the proposing firm's refusal or failure to execute a contract within (14) days after its receipt of formal Notice of Award, the proposing firm's security may be declared forfeited to the City of Evergreen as liquidated damages, and the award may be made to the next best qualified proposing firm. A forfeited security shall be the sole remedy by the City of Evergreen. The City of Evergreen reserves the right to re-advertise for proposals. The sealed bid opening process shall be video documented. The sealed bid opening and reading of the proposal shall not be construed as an acceptance of the bidding firm as qualified responsible bidder. City reserves the right to reject any or all bids, to waive irregularities and/or informalities in any proposal, and to make an award in any manner, consistent with law, deemed in the best interest of the City of Evergreen. City reserves the right to determine the competence and responsibility of the proposing firm from its knowledge of the bidder's qualifications and from any other resources including references of the proposing firm's current contracts. Supporting data shall be provided with the proposal to include a certified current financial statement and evidence of good standing within the State of Alabama. City reserves the right to require additional information in order to determine the competency of the proposing which may include evidence that the proposing firm is capable of commencing performance as required by the contract, evidence that the proposing firm has managerial and financial capacities to perform all phases of the contract, and evidence that the proposing firm possesses the operational experience in the industry to perform all phases of the contract.
