Contract duration and renewal option The Contract begins on May 1, 2023. The Contract will be valid for a period of three (3) years with the option of renewal for two (2) subsequent periods of one (1) year each under the same conditions and at the sole discretion of the Owner. The Owner will send the Supplier, thirty (30) before the end of the Contract, a notice mentioning the renewal of the Contract, if applicable. Transition period In order to allow for an orderly transition and to avoid any break in the performance of the Agreement, the Owner may, at its sole discretion, renew the Agreement for a transition period not exceeding one (1) month. To take advantage of such a transition period, the Owner must notify the Supplier at least thirty (30) days before the scheduled end date of the Contract. Other reasons for a Bidder's refusal The Owner reserves the right to refuse any Bidder who, during the two (2) years preceding the opening date of the Bids, has been the subject of an unsatisfactory performance evaluation by the Owner, has failed to respond to a Submission or a contract or has been the subject of a contract termination due to its failure to comply with its terms. Full submission for single award The Owner does not undertake to accept either the lowest or any of the Tenders received, nor to carry out the object of this call for tenders, nor to carry out only a part thereof and may, at its sole discretion, not carry out anything in link with this invitation to tender and this, without any compensation for the Bidders.
