If the Supplier Name and FEI Number change, the Supplier must complete an Assignment and Agreement form transferring contract rights and responsibilities to the new Supplier. ADHS must indicate consent on the form. A written Contract Amendment must be signed by both parties and a new IRS W-9 form must be submitted by the new Supplier and entered into the system prior to any payments being made to the new Supplier. Rights In Work Product. All intellectual property originated or prepared by Contractor pursuant to the Contract, including but not limited to, inventions, discoveries, intellectual copyrights, trademarks, trade names, trade secrets, technical communications, records reports, computer programs and other documentation or improvements thereto, including Contractor's administrative communications and records relating to the Contract, are considered work product and Contractor's property, provided that, State has Government Purpose Rights to that work product as and when it was delivered to State. No Pre-Bid Conference will be held for this solicitation. All questions related to the solicitation should be submitted using the Discussion Forum tab no later than five (5) calendar days before the bid due date of September 27th 2023 by 3:00 pm local Arizona time. The State reserves the right to obtain like goods or services from another source when necessary, or when determined to be in the best interest of the State.
