SCOPE OF SERVICES The provider shall perform the following services upon request of the County in fulfillment of the purposes of this agreement. Communication The provider shall coordinate all communications with the County through building maintenance staff, taking and making notes in a task binder at each facility, and/or through email or text between the County and vendor (whatever is most convenient to both parties). Proposals shall be submitted in a sealed envelope identifying the Vendor's name, and the RFP title, by the due date required in this RFP. The submission of a proposal signifies the Vendor's agreement that its proposal and the content thereof are valid and will become part of the agreement that is negotiated between Iowa County and the successful Vendor. All prices submitted with the proposal shall remain in effect for the agreement period. 1. Parties. The parties to this agreement are the County of Iowa hereinafter referred to as the "County" and Provider Name, hereinafter referred to as the "Provider." 2. Purpose. The purpose of this agreement is for the County to engage a provider to provide janitorial services for the County. 3. Scope of Services. The provider will perform and complete in a timely and satisfactory manner the services described in Exhibit "A," captioned "Scope of Services," which is attached hereto and made a part hereof by reference. 4. General Terms and Conditions. This agreement is hereby made subject to terms and conditions included in Exhibit "B," captioned "Additional Terms and Conditions," which is attached hereto and made a part hereof by reference. 5. Consideration. Consideration for the performance of the services is referenced in Exhibit "A." 6. Term of Agreement. The initial term of this agreement will be for a three-year period beginning 01-01-2024 and ending 12-31-2026, upon the approval and signature of the parties hereto. The agreement can be extended by one-year increments for up to two additional years upon mutual written agreement of the parties as to the Scope of Services, Terms, and Conditions, and Method of Payment, but each written extension must be executed prior to expiration of the then-current agreement. 7. Method of Payment. The provider agrees to accept payments referenced in Paragraph 5, "Consideration", to be paid as billed by the Provider. The provider agrees to submit complete accurate invoices to the County that contain a detailed account of each billing. The provider is classified as an independent contractor and not a contractual employee of the County. As such, any compensation due payable to the provider will be paid as gross amounts. 8. Applicable Law. This agreement shall be governed by and construed in accordance with the laws of the State of Wisconsin, excluding its conflicts of law provisions, and any litigation with suspect thereto shall be brought in the courts of the State of Wisconsin. The provider shall comply with applicable federal, state, and local laws and regulations. 9. Availability of Funds. It is expressly understood and agreed that the obligation of the County to proceed under this agreement is conditioned upon the appropriation of funds by the Iowa County Board or if funds are not otherwise available to the County, the County shall have the right upon thirty (30) calendar days written notice to the provider, to terminate this agreement without damage, penalty, cost or expenses to the County of any kind whatsoever. The effective date of termination shall be specified in the notice of termination. This clause shall be referred to as a "Non-appropriation of Funds Clause." 10. Compliance with Laws. The Provider understands that the County of Iowa is an equal opportunity employer and, therefore, maintains a policy that prohibits unlawful discrimination based on any consideration made unlawful by federal, state, or local laws. All such discrimination is unlawful, and the provider agrees during the term of the agreement that the provider shall comply with, and all activities under this agreement shall be subject to, all applicable federal, state of Wisconsin, and local laws and regulations, as now existing and as may be amended or modified.
