The County of Santa Clara is seeking the services of a qualified waste management company or companies to provide garbage, recycling, organics (yardwaste and food waste) collection services in Unincorporated Santa Clara County for a 10-year term (July 1, 2025 to June 30, 2035). The 10-year term may include a two-year extension option, exercisable at the County's sole and absolute discretion. Santa Clara County (SCC) is the sixth most populous county in California, with a population of 1.9 million people. SCC contains 168 distinct voting districts, 15 cities encompassing approximately 1,300 square miles and a large concentration of electronics, information technology, research and manufacturing firms. SCC has is the fifth-largest county government in the State. SCC's governmental structure includes a decentralized mix of approximately 50 agencies and departments. The County provides services such as public safety and justice, road construction and maintenance, parks and recreation, libraries, and environmental resource management. It also operates "enterprise" programs, which charge fees to users for services. Two examples are the County Health System, which includes 3 hospitals, and the County airports. The County acts as an agent of the State in administering health, social services, and criminal justice programs that are of statewide concern. Policy making, and legislative authority are vested in the Board of Supervisors, which consists of an elected Supervisor from each of the County's five districts. The Board's responsibilities include passing ordinances and policies, adopting the budget, appointing committees, and appointing the County Executive who manages the day-to-day operations of the County. PROJECT SCOPE The County's primary goal is to ensure efficient and effective collection and processing of Unincorporated Santa Clara County's resource recovery streams, which include solid waste refuse, recyclables, and organics (i.e., food waste and yard waste). The County is requesting proposals from providers prioritizing high-quality and cost-effective service with demonstrated experience in providing programs similar to those described in this RFP. Contractor shall provide all solid waste management services to Unincorporated Santa Clara County within the proposed service area(s). Service includes all hauling and processing of refuse, recyclables, and organic waste and collection container provision and maintenance, with cost-effective service for Unincorporated Santa Clara County residents and businesses. Services do not include construction and demolition debris, medical waste, or hazardous waste. Contractor will provide this service in accordance with all local, state, and federal laws, including but not limited to the Integrated Waste Management Act (AB 939), Mandatory Commercial Recycling (AB 341), Mandatory Commercial Organics Recycling (AB 1826), Global Warming Solutions Act (AB 32), the Short-Lived Climate Pollutants (SB 1383), Advanced Clean Fleet Regulations, and all regulations adopted by the California Department of Resources Recycling and Recovery (CalRecycle), and The California Air Resources Board (CARB) to implement these laws. The specifications contained within this RFP are designed to establish an effective, efficient, environmentally clean, uniform, and safe system of collection. To this end, the County has provided multiple exhibits for all prospective Proposers to this RFP to aid in the development of the responses and compute fair and reasonable cost proposals. However, it is the sole responsibility of the Proposer to calculate the rates quoted in the Price Proposal Schedule provided in APPENDIX D of this solicitation document. The Exhibit D - Scope of Work and Requirements should be used as a guide for shaping the proposal and cost estimates for the services outlined. Proposers should use the Appendices to guide the content of the proposal including the inclusion of each Appendix in the completed proposal. This proposal content will be used to develop the Statement of Work (SOW) that will be negotiated for the Franchise Agreement. The term of this Agreement for Collection District shall be from July 1, 2025, through June 30, 2035. County, at its sole discretion, may extend this Agreement on the same terms for a two- (2) year extension, exercisable at the County's sole and absolute discretion. Prior to any offer of extension of the Agreement, the County may require a performance and/or financial audit to be performed by a qualified firm to be selected by the County and paid for by the Grantee. Extension of the Franchise will not include a change in rates, except as provided for in this Agreement. Rates will continue to be reviewed and adjusted annually as described in Section 7 of this Agreement. Deadline to Submit Written Questions January 26, 2024 5:00 pm PST. All proposers will be notified in writing of the decision on the contract award. The County's decision of whether to make the award and its decision on which proposer is selected, if any, shall be final. There will be no public opening for this RFP. COUNTY RIGHTS The County reserves the right to do any of the following at any time: 1.Reject any or all proposal(s); 2.Waive or correct any minor defect, irregularity or error in a proposal or the RFP process; 3.Request that Proposers supplement or modify all or certain aspects of their proposals or other documents or materials submitted; 4.Terminate the RFP, and, at its option, issue a new RFP; 5.Procure any equipment or services specified in this RFP by any other means; 6.Modify the selection process, the specifications or requirements for materials or services, or the contents or format requirements for proposals; 7.Extend a deadline specified in this RFP, including deadlines for accepting proposals; 8.Accept proposals through other sources (besides Periscope Holdings) and beyond the due date and time at its sole discretion. 9.Negotiate with any or none of the Proposers; 10.Modify in the final agreement any terms and/or conditions described in this RFP; 11.Terminate failed negotiations with a Proposer without liability, and negotiate with other Proposers; 12.Disqualify any Proposer on the basis of a real or apparent conflict of interest or evidence of collusion evaluated by the County; 13.Eliminate, reject or disqualify a proposal of any Proposer who is not a responsible Proposer or fails to submit a responsive offer as determined solely by the County; and/or 14.Accept all or a portion of a Proposer's proposal. PERFORMANCE BOND. Grantee shall secure and deliver to the County Integrated Waste Management Division Manager, a twelve (12) month performance bond, or other surety acceptable to County to secure the full, true and faithful performance of all terms, obligations and conditions of this franchise agreement on the part of the Grantee, in the following amount: District East - Two Hundred and Twenty Five Thousand Dollars ($225,000) District South - Two Hundred Thousand Dollars ($200,000) District West - Seven Hundred Thousand Dollars ($700,000) To secure the full, true and faithful performance of all the terms, obligations and conditions of this franchise on the part of Grantee. Grantee shall present said bond, and upon request of County, Grantee shall present proof of payment for the bond to the County Recycling and Waste Reduction Division Manager at least 30 (thirty) days prior to the commencement of operations pursuant hereto. At least 30 (thirty) days prior to the start of each subsequent year of this Agreement, Grantee shall present proof of one year renewal of the bond to the office of the County Recycling and Waste Reduction Division. Should any surety or sureties be deemed unsatisfactory at any time by the County, notice will be given to Grantee to that effect and Grantee shall forthwith substitute a new surety or sureties satisfactory to the County. No further payment shall be deemed due or will be made under the Agreement until the new sureties qualify and are accepted by the County. Multiple district awards would require the combined value of the bond requirements for the awarded districts.
