H. It is understood and agreed between the parties that if any agreement results from this bid invitation, the City shall be bound hereunder only to the extent of funds available or which may hereafter become available for the purpose of this agreement. It is further understood and agreed between the parties that if any agreement results from this bid invitation, the City shall not be obligated to purchase or pay for commodities covered by this statement, unless and until, they are ordered to be delivered by the City. I. 1. Consideration for award of bid will include the bidder being an established distributor and/or dealer. The City reserves the right to request the bidder to provide information on business history, references, bank and credit references, and similar qualification documents. 2. Agreement of purchase shall be awarded to the lowest, responsible bidder meeting specifications for material as deemed in the best interest and advantage of the City of Kingsport. The City reserves the right to award to multiple vendors. 3. The agreement will be awarded for a period of one (1) year with a renewal option on an annual basis in one (1) year increments providing all terms, conditions, and cost are acceptable to both parties. The City reserved the right to re-bid at the end of any contract period. J. PRICING. 1. Vendor will be required to notify the office of the Procurement Manager, by written communication, of any price increase or decrease during the life of the agreement with the effective date. 2. The City reserves the right to accept or reject all notification of price changes. In the event that an acceptable price to both parties cannot be reached, the agreement will be null and void, and the City shall be free to re-bid. 3. Bidder is requested to quote a unit price subject to escalation if the bidder's source of supply increases price to the bidder. This increase shall be limited to the amount of that increase from bidder's supply only, with no allowance for additional overhead or profit. Bidder is to grant the City any decrease in unit price that becomes available during the agreement period. K. TERMINATION. The City reserves the right to terminate any agreement(s) created from this bid by giving thirty (30) days written notice except that the agreement(s) are terminated automatically upon anniversary date. L. DELIVERY REQUIREMENTS Prior to delivery the Supplier will email or fax photo ID of driver to the City of Kingsport. Email and fax number will be provided. At delivery the following items must be provided to Plant personnel before offloading can begin: 1. Certificate of Analysis 2. Bill of Lading including seal number(s) matching those seals attached to the tanker. 3. Seals on tanker must be intact and unbroken. 4. Verification that the treatment chemical being delivered meets NSF 60, 61 standards. 5. Driver will be required to provide a sample of the treatment chemical directly from the tanker.
