For additional information on this program, or to determine eligibility, please call 651-296-2600 or go to website Term of Contract 1.1 Effective date: Work cannot commence before the date the State obtains all required signatures under Minn. Stat. 16C.05, subd. 2. The Contractor must not begin work under this Contract until this Contract is fully executed and the Contractor has been notified by the State to begin the work. 1.2 Expiration date: June 30, 2024, or until all obligations have been satisfactorily fulfilled, whichever occurs first. 1.3 Survival of terms: The following clauses survive the expiration or cancellation of this Contract: Indemnification; State Audits; Government Data Practices and Intellectual Property; Publicity and Endorsement; Governing Law, Jurisdiction, and Venue; and Data Disclosure. Any other Contract term that states it shall survive, shall survive SOLICITATION SECURITY. Responses that exceed $50,000.00 must be accompanied by a surety bond of a surety company duly authorized to do business in the State of Minnesota; in an amount equal to five percent (5%) of the total amount of the response, which is submitted as a solicitation security conditioned upon the Responder entering into a contract with the State of Minnesota in accordance with the terms of the solicitation. Responders must upload a copy of their surety bond as prompted in the Event. The State reserves the right to require the Contractor provide the original surety bond to the State. If such request is made, the Contractor must submit the original surety bond within seven (7) calendar days upon such request. If the original surety bond is not received within (7) calendar days of request, the State may take action including rejection of the response or cancellation of the contract for cause. If the solicitation security is in the form of a certified check, cashier's check, or money order made payable to the State of Minnesota, it must be received by the Contracting Agency at the address identified within this Event in a clearly marked and sealed envelope no later than the due date and time indicated in the Event. Late submissions will result in rejection of your response. Facsimile or copies of a certified check, cashier's check, or money order will not be accepted. The solicitation security submitted is conditioned upon the responder's entering into a contract with the State of Minnesota in accordance with the terms of the solicitation. It is agreed that said solicitation security of the successful responder will constitute liquidated damages, not a penalty, for the failure or refusal of the successful responder to execute and deliver the contractual documents, in a correct form, within ten (10) calendar days after receipt of the contract documents. ASSURANCE OF COMPLETION (PAYMENT AND PERFORMANCE BOND) A. Unless otherwise exempted in these Contract Documents, the Contractor shall furnish a Performance Bond and a Labor and Material Payment Bond (individually a "Bond" and collectively "Bonds") to the Owner. The Performance Bond shall be in an amount equal to 100% of the full amount of the Contract sum as security for the faithful performance of the Contract, and the Labor and Material Payment Bond shall be in an amount equal to 100% of the full amount of the Contract sum as security for the payment of all persons performing labor and furnishing materials in connection with the Contract Documents. Such Bonds shall be on forms approved by or provided by the Owner and shall name the Owner as primary Obligee. B. The surety issuing the Bonds shall be satisfactory to the Owner, be licensed to issue Bonds in the State of Minnesota, shall be rated by A.M. Best an A-(minus) or better, and shall be within the limit set by the Treasury Department as the net limit on any single risk for the surety, or if co-sureties are utilized, the amount of each Bond shall be within the total of such limits set for a surety and any such co-sureties. There shall be no affiliation between the Contractor and any bonding agencies or agent used. C. In the event of change orders that result in an increase in the Contract Sum, the penal sum of each Bond shall increase in the amount of such change in the Contract sum without obtaining the surety's consent up to a maximum of 10% of the penal sum. Any aggregate increase in the excess of 10% of the original penal sum shall require the surety's written consent. The Contractor shall be responsible for getting the consent, and shall submit a copy of such consent to the Owner. D. If the Owner determines that the surety providing the bonds no longer meets the above requirements, the Contractor shall obtain an adequate replacement surety that will provide acceptable bonds in the same form and amount as the bonds issued by the original surety. The Contractor shall pay the premium(s) on such new Bond(s). The Contractor acknowledges that further payments to the Contractor may not be made until the new surety has been qualified and approved. E. Responder at own cost and expense shall execute and deliver to the State of Minnesota, Department of Natural Resources within ten (10) calendar days from receipt of award letter, a payment and/or performance bond, as defined above. F. Non-submittal of the above documents, in proper form, within time frame specified will be just cause for forfeit of any solicitation bond and contract. SITE VISIT. All vendors shall visit the site of the project, take their own measurements and verify all specifications and conditions pertinent to the project in order to ensure its proper completion. Ignorance of site conditions will not be the basis for any change order request. The Department of Natural Resources is seeking bids to seal approximately 30,000 linear feet of cracks on Central Lakes State Trail from Fergus Falls to Evansville in Otter Tail County. All responses must be submitted electronically through the Swift Portal. No e-mail or faxed responses will be accepted. Contractors needing help with registration and/or completing their response to this Event may contact the Contractor Assistance Help Desk at 651-201-8100, Option 1. Failure to respond to latest event version may result in bid rejection. The work covered under this solicitation shall consist of the labor, equipment, materials, tools, transportation, and incidentals necessary to seal approximately 30,000 linear feet of cracks on Central Lakes State Trail from Fergus Falls to Evansville in Otter Tail County.
