Conceptual plans call for the construction of a medical facility; for site work for a medical facility; road / highway; for outdoor lighting for a road / highway; for paving for a road / highway; sidewalk / parking lot; sidewalk / parking lot; sidewalk / parking lot; and water / sewer project.

University Health is soliciting proposals for a developer (hereinafter referred to either the "Developer" or "Respondent") to undertake the design, construction, leasing, and operation of a Medical Office Building ("MOB") in San Antonio, Texas. The MOB will be a four-story building with a minimum of 80,000 square foot and will be located at Shaenfield Road and Highway 1604(the "Project"). University Health will provide an approximately [5.5-acre parcel], as depicted on the site plan attached hereto as Exhibit E-1 (the "Land") through a long-term, unsubordinated ground lease agreement, with University Health as the ground lessor, and Developer (or its permitted nominee), as ground lessee (the "Ground Lease"). The selected Developer will be responsible for fully funding the Project and constructing the MOB and all site improvements, including, without limitation surface parking, driveways, landscaping, lighting, utilities, and signage on the Land, as well as off-site drainage, in accordance with and pursuant to a development agreement to be entered into by the parties concurrent with the Ground Lease (the "Development Agreement"). Following construction of the MOB, University Health will initially lease and occupy a minimum of two floors of the building (approximately 40,000 s.f. for clinical services on the 1st and 2nd floors), pursuant to a master lease between Developer, as lessor, and University Health, as lessee (the "Master Lease"). The third floor of the building (approximately 20,000 s.f.) will be either (i) leased to another third-party healthcare provider that has been preliminarily identified, pursuant to a lease between the Developer, as landlord, and the third-party healthcare provider, as tenant subject, however, to certain control rights and preferential rights of University Health as set forth below, or (ii) potentially leased by University Health. The 4th floor (containing approximately 20,000 s.f.) (the "4th Floor") will be shell space reserved for University Health or its designee for future and will be subject to certain control rights and preferential rights of University Health as set forth below. University Health will consider master leasing more than 40,000 s.f. on a proposal-by-proposal basis.
