The County shall evaluate bids for award purposes by adding the total price for all options to the total price of the base period. However, the evaluation of options shall not obligate the County to exercise the option(s). It is the intent of the County for award(s) to be made on an estimated total basis, per lot, to the lowest responsive and responsible Respondent, where Respondents will be awarded no more than two (2) lots. The County will exercise its discretion to use any respondent within an area, based on need and respect to respondent capacity. The County will award lots to the most competitive Respondents and reserves the right to determine the quantity of awards based on projected usage, price analysis in alignment with the best interest of the County. In the event that the lowest responsive and responsible Respondent submits the lowest bid for each of the four lots, a maximum of two (2) lots will be awarded to them. Failure to provide pricing for ALL line items within a lot shall render the response non-responsive for that lot. AWARD The Contract resulting from this solicitation shall commence effective upon execution by both parties and extend for a period of twelve (12) months. The contract shall include the County's option to extend for two (2) additional twelve (12) month periods, totaling thirty-six (36) months. OPTION TO EXTEND THE TERM OF THE CONTRACT The County may unilaterally extend the term of this Contract by written notice to the Contractor at least 60 days before the expiration of any Contract term. The exercise of the option shall be for the period specified and for the prices listed on the Bid Proposal Form. All other terms and conditions of the Contract shall apply to the option periods. Respondent shall provide copies of all applicable licenses, certifications and authorizations required to lawfully perform the proposed work. A bid shall constitute an irrevocable offer for a period of one hundred twenty (120) days from the public opening date or until the date of award. In the event that an award is not made by the County within one hundred twenty (120) days from the public opening date, the respondent may withdraw their offer or provide a written extension without modification. If a prospective respondent considers the specification contained herein to be proprietary or restrictive in nature, thus potentially resulting in reduced competition, they are urged to contact the Procurement Division prior to the question submission deadline. Specifications which are unrelated to performance will be considered for deletion via addendum to this solicitation. Firms or individuals that assisted in the development or drafting of the specifications, requirements, statements of work, or documents contained within this Solicitation are excluded from competing for this Solicitation. This shall not be applicable to firms or individuals providing responses to a publicly posted Request for Information (RFI) associated with this Solicitation. The County reserves the right to accept or to reject any or all offers and to make the award to that respondent who, in the opinion of the County, will be in the best interest of and/or the most advantageous to the County. The County also reserves the right to reject the offer of any respondent who has previously failed in the proper performance of an award, to deliver on time contracts of a similar nature, or who, in the County's opinion, is not in a position to perform properly under this award. The County reserves the right to inspect all facilities of respondents in order to make a determination as to the foregoing. The County reserves the right to waive any irregularities and technicalities and may, at its discretion, request a re-solicitation. Award will be made to the lowest responsive and responsible respondent as determined by the County. The County reserves the right, and the Manager, Procurement Division has absolute and sole discretion, to cancel a solicitation at any time prior to approval of the award by the Board of County Commissioners when such approval is required. The decision to cancel a solicitation cannot be the basis for a protest pursuant to the Orange County Code.
