INTRODUCTION The specific goods and services for which the successful Proposer will be expected to provide to NROTB and the Property are described in more detail below and on the attached Roof Repair Specifications (Exhibit 4). A contractor may be selected from among responding entities or persons based on a thorough analysis of each Proposer's Proposal (the "Contractor"). NROTB will only contract with firms that do not discriminate against employees or applicants for employment because of race, color, religion, creed, ethnicity, age, gender, pregnancy, sex, sexual orientation, gender identity, national origin, citizenship, marital status, domestic violence victim status, military status, veteran status, disability, familial status, genetic information, genetic predisposition or carrier status, or other characteristic or criteria protected by applicable law. See Exhibit 1. Estimated Budget: $50,000 to $750,000 A. LOCATION The Levittown Branch is located at 2680 Hempstead Turnpike, Levittown, New York 11756. Attached, as Exhibit 3, are aerial photographs of the Property which should be included in each Proposal. To assist in preparing the Proposal, Proposer is required to schedule a mandatory site inspection of the roof by contacting Ronald J. Ferraro, Esq., General Counsel & Corporate Secretary, via email at rferraro@nassauotb.com or via telephone at 516-572-2800 ext. 138. During the scheduled time, a Proposer shall be provided access to inspect the roof in order to assist in preparing its response to this RFP. B. SPECIFIC PROPOSAL REQUIREMENTS AND SUBMISSION INFORMATION 1. Minimum Qualifications: To be considered eligible to submit a Proposal in response to this RFP, Proposers (including principals) must have previous experience providing services of similar scope and scale as those identified in this RFP. Proposals that fail to meet this requirement may be found nonresponsive and rejected. 2. RFP Schedule o Mandatory Site Inspection To be scheduled and completed between November 18, 2024 and December 10, 2024 o Award Date: TBD Award of Contract NROTB shall select a Contractor (if any) by means of a Notice of Award issued by NROTB. Neither the selection of a Contractor nor the issuance of a Notice of Award shall constitute NROTB's acceptance of the Proposal or a binding commitment on behalf of NROTB to enter into a contract with the Proposer, as any binding arrangement must be set forth in definitive documentation signed by both parties and shall be subject to all requisite approvals. 3. Authorized Contact Person Interested parties are advised that the authorized contact person for this RFP (the "Authorized Contact Person") is Ronald J. Ferraro, Esq., General Counsel & Corporate Secretary. No contact with any other NROTB personnel other than the Authorized Contact Person by a Proposer is allowed until such times as an award (or awards) has (have) been made. Violation of this provision may result in immediate disqualification. Proposers must submit all Proposals and direct all responses, questions, and any other communications to the Authorized Contact Person, each of which must be in writing and include the questioner's e-mail address. Proposal Submission Instructions One (1) original of the Proposal and all attachments must be submitted to NROTB in a sealed opaque envelope no later than 4:30 pm (EDT) on the Proposal Due Date addressed to the attention of the Authorized Contact Person. The envelope must include all contact information for the Proposer, including name, address, telephone number, and email address. No electronic or facsimile Proposals will be accepted. The Proposer bears all responsibility to ensure that its Proposal is submitted in a timely fashion and should anticipate potential delays in the delivery of the same. 6. RFP Clarifications and Questions a. NROTB will not respond to any question, inquiry or assertion that is not received in writing. Questions or inquiries may be submitted by e-mail only. All Proposers must include their contact information on any submitted Proposal or question, including their name, address, telephone number, and email address. b. All submitted questions, clarifications or amendments of this RFP will be (i) responded to in writing and forwarded (via-e-mail) to each individual and/or entity who has provided NROTB with a valid e-mail address, and (ii) posted on the NROTB website at "www.nassauotb.com". 7. Modification or Withdrawal of a Proposal Proposals shall be firm and not revocable for a period of fifteen (15) days unless withdrawn by the Proposer in writing before 4:30 p.m. (EDT) on the Proposal Due Date. 8. Mandatory Proposal Response Requirements All Proposals must contain the following listed items. A failure to include any mandatory items will result in the submitted proposal receiving a score of zero in that category. All Proposals responding to this RFP shall be in English and shall include all attachments and certifications. All submissions must be signed on the designated signature line by an officer or authorized agent of the Proposer. All lines should be completed, or marked as "No Answer" if no response is intended to be inserted. a. Cover Page The cover page can be found as Appendix A to this RFP. The completed cover page must be the first page of the response to this RFP. Please ensure that all items noted on that page are included in the submission in the order listed on the cover page. b. Proposal & Proposal Pricing The proposal and proposal pricing cover sheet can be found as Appendix B to this RFP. The Proposer should attach a full copy of its formal Proposal to the pricing cover sheet, and must include on the pricing cover sheet a single price for all fees and services that the bidder may charge NROTB in connection with the services listed thereon. Pursuant to public bidding laws, including but not limited to General Municipal Law 103 et. seq., NROTB is not permitted to pay any additional fees or charges that were not included in this RFP. c. Prior Experience; Qualifications. Proposers shall (a) set forth in detail their prior experience (including experience of principals), including any municipal experience, and references if available; (b) set forth in detail the qualifications, experience and training of personnel that will provide the services required by this RFP. The Proposer shall attach its response addressing the foregoing to Appendix C. d. Business History Form. A Business History Form is attached to this RFP as Appendix D. This form must be duly completed and verified by the Proposer. e. Non-Collusive Proposal Certification. A Non-Collusive Proposal Certification form is attached to this RFP as Appendix E. All Proposers must sign and complete this form. f. Iran Divestment Act Certification An Iran Divestment Act Certification form is attached to this RFP as Appendix F. All Proposers must sign and complete this form. g. Exemption From Tax Statement An Exemption From Tax Statement is attached to this RFP as Appendix G. h. Sexual Harassment Prevention Certification A Sexual Harassment Prevention Certification form is attached to this RFP as Appendix H. All Proposers must sign and complete this form. j. Affidavit For Corporation An Affidavit for Corporation form is attached to this RFP as Appendix I. All Proposers must sign and complete this form. 9. Proposal Evaluation Criteria Each Proposal shall be evaluated on various areas, which will include the following: a. Category: Background and Experience 50% Percent 1) Background, experience and past performance of the Proposer in providing similar services. (50%) Percent b. Category: Pricing 50% Percent 10. Insurance The Contractor is required to procure the types of insurance coverage and minimum liability limits in form and substance satisfactory to NROTB as more fully set forth in Exhibit 2 attached hereto. Required insurance coverage limits may be provided through a combination of primary and excess/umbrella liability policies. 11. General Information a. Incurring Cost. NROTB shall not be liable for any costs incurred in the preparation and production of a Proposal in response to this RFP or for any work performed prior to the issuance of a contract. b. Basis of Award. Notwithstanding any other provision of this RFP, NROTB reserves the right to award the contract to the Proposer(s) that best meets the requirements of the RFP and provides the "best value" to NROTB. c. Contract Negotiations. NROTB intends to enter into contract negotiations with the Proposer(s) selected by its RFP Evaluation Committee, who shall be required to enter into a written contract(s), in form and substance satisfactory to NROTB. This RFP and the Proposal, or any part thereof, may be incorporated into and made a part of the contract(s). The contract(s) may contain provisions not contained herein. d. Disclosure of proposal contents. NROTB is subject to the Freedom of Information Law, which governs the process for the public disclosure of certain records maintained by it (Public Officers Law, 87 and 89). Individuals or firms that submit proposals to NROTB may request that it except all or part of such Proposals from public disclosure, pursuant to Public Officers Law Section 87(2)(d), on the grounds that the Proposal contains trade secrets, proprietary information, or that the information, if disclosed, would cause substantial injury to the competitive position of the individual or firm submitting the information. Such exception may extend to information contained in the request itself, if public disclosure would defeat the purpose for which the exception is sought. The request for an exception must be in writing at the time the Proposal is submitted and must state, in detail, the specific reasons for the requested exception. It must also specify the portions or materials for which the exception is requested. If NROTB grants the request for exception from disclosure, it shall keep such Proposal or portion thereof exempt from public disclosure. Proposers should be aware that any claimed exception is subject to review by a court of law under applicable provisions of the Public Officers Law. e. Ownership of Information. NROTB has the exclusive ownership and unlimited rights to use disclose, or duplicate for any purpose whatsoever, all information, data designs, reports, documents, data, photographs and/or other materials produced pursuant to this RFP. f. Examination of Records. In submitting a Proposal, each Proposer agrees that NROTB shall have access to and the right to examine directly all pertinent documents, papers and records of the Proposer as related to any contract resulting from this RFP until six years after final payment has been made pursuant to any contract awarded as a result of NROTB's acceptance of a Proposal. g. Subcontracting. The Contractor will be responsible for the entire performance of the contract and shall not be permitted to subcontract any part of the contract or any of the rights and obligations thereunder. h. Disclaimer. NROTB and its respective officers, directors, agents, members and employees make no representation or warranty and assume no responsibility for the accuracy of the information set forth in this RFP. Further, NROTB does not warrant nor make any representations as to the quality, content, accuracy or completeness of the information, text, graphics, links or other facet of this RFP once it has been downloaded or printed from this or any server, and hereby disclaims any liability for technical errors or difficulties of any nature that may arise in connection with the website on which this RFP is posted, or in connection with any other electronic medium utilized by Proposers in connection with or otherwise related to the RFP. 12. General Conditions for Contract a. The Contractor will be required to comply with all applicable New York State Labor Laws. b. The Contractor will operate pursuant to a contract with NROTB. NROTB and its employees and agents shall not be liable for any damages to the Contractor in the event that the contract is revoked by NROTB. c. NROTB reserves for its sole benefit all other rights to the Property. d. The contract shall provide that in the event of any material misrepresentation by the Contractor contained in its proposal, NROTB shall have the right to immediately terminate the agreement. It shall also provide that in the event the Contractor or any of its principals are convicted of a misdemeanor or felony during the term of the agreement, that NROTB shall also have the right to terminate the agreement. e. Licenses and Permits. The Contractor will agree to procure, at their cost and expense, any and all permits and/or licenses necessary to fulfill and carry out all the provisions of the contract. Contractor shall be required to have permits and licenses in full force and effect within five (5) days after NROTB and Contractor enter into a contract. A failure to acquire or maintain such licenses and/or permits may be grounds for termination of the contract. f. Gaming Commission Approval. NROTB is under the regulatory authority of the New York State Gaming Commission. Accordingly, the parties agree that the contract may be subject to review by the NYS Gaming Commission and Contractor agrees to cooperate with its independent vetting process upon request. g. Employees. The Contractor will be responsible for providing all employees required to perform the services set forth in the contract and shall be responsible for all payroll and employment taxes for the same. h. Non-Discrimination. NROTB will only contract with a Contractor that does not discriminate against employees or applicants for employment because of race, color, religion, creed, ethnicity, age, gender, pregnancy, sex, sexual orientation, gender identity, national origin, citizenship, marital status, domestic violence victim status, military status, veteran status, disability, familial status, genetic information, genetic predisposition or carrier status, or other characteristic or criteria protected by applicable law. 13. Supplies and Equipment Contractor is responsible to supply all necessary supplies and equipment required to provide the proposed services at the Property. D. SCOPE OF PROPOSAL THE FOLLOWING SCOPE OF PROPOSAL SHOULD BE TREATED AS A GUIDELINE WHEN PREPARING A PROPOSAL RESPONSE AND SHOULD BE READ IN CONJUNCTION WITH THE OTHER INFORMATION CONTAINED IN THIS RFP. THE SCOPE OF PROPOSAL MAY BE SUBJECT TO NEGOTIATIONS RESULTING IN A FINAL AGREEMENT. 1. Scope of Proposal NROTB is seeking proposals from qualified Proposers available to contract for the services detailed in this RFP, including but not limited to, the goods and labor necessary to repair/replace the roof of the Property in accordance with the Roof Specifications attached hereto as Exhibit 4. The Contractor must apply for a permit (if necessary) within ten (10) days of executing a contract with NROTB, with the work to begin within thirty (30) days of receipt of the permit. If no permit is required, then all work by the Contractor must commence within thirty (30) days of executing the contract with NROTB. Once the work is started it shall continue business day to business day until completed, subject only to weather conditions. 2. The Proposal Price (Appendix B) must include a single price for all fees and services that the bidder may charge NROTB in connection with the services listed thereon. Pursuant to public bidding laws, including but not limited to General Municipal Law 103 et. seq., NROTB is not permitted to pay any additional fees or charges that were not included in this RFP. Therefore, any applicable charges should be included in Appendix B. E. NROTB Procurement Process NROTB reserves the right to: o Amend or withdraw this RFP at any time prior to award or not make an award under this RFP in NROTB's sole discretion. o Recommend for selection for contract or for negotiations a Proposal other than that with the lowest cost. o Reject any and all Proposals received in response to this RFP, including, without limitation, any Proposals that are incomplete or non-responsive, that purport to alter any required terms or conditions of this RFP, that contain any conditions or limitations, or that contain any other irregularities. o Make a recommendation that NROTB make no award, cancel the RFP or issue a new RFP. o Waive or modify any information, irregularity, or inconsistency in Proposals received, if such waiver or modification is deemed to be in the best interests of NROTB. Contact Proposers to obtain clarifications of their Proposals, but NROTB is under no obligation to do so. o Request modification(s) to Proposals from any or all Proposers during the review and negotiation period. o Negotiate any aspect of any Proposals with any Proposer and negotiate with more than one Proposer at the same time. o Award based on Proposals received without discussion of such Proposals with the Proposers. Each Proposal, therefore, should be submitted in the most favorable terms that the Proposer can offer NROTB from a price and technical standpoint. However, NROTB reserves the right to request additional data or to have oral discussions or presentations/negotiations in support of Proposals from any and all Proposers. o NROTB may divide and award the contract to multiple Proposers as warranted and as it deems appropriate.
