The Metropolitan Government of Nashville and Davidson County (Metro) is soliciting proposals for a highly qualified and experienced RNG company to enter into a 20 year contract that will design, finance, construct, own, operate, maintain and manage a new biogas gas to renewable natural gas (RNG) facility for pipeline injection. Metro Water Services is seeking a highly qualified and experienced RNG Company that will design, finance, construct, own, operate, maintain, and manage a new biogas gas to renewable natural gas (RNG) facility for pipeline injection. The term of the contract will be twenty (20) years from the projected commissioning of the RNG Facility. The RNG Company will receive biogas from the Central Biosolids Facility located at 1810 Cement Plant Road, Nashville, TN. MWS will lease approximately 25,000 square feet of land to the Company for the term of the contract. The land will be used by the RNG Company to construction the RNG Facility. The RNG Facility will include a Biogas Conditioning Facility and an RNG Interconnection Facility. The RNG Company will design, finance, construct, own, operate, maintain and manage the RNG Facility. The RNG Company will be responsible for acquiring and maintaining all permits and agreements required for the construction and operation of the RNG Facility. The RNG Company will own and have title to the renewable natural gas and any environmental attributes and credits created by the Project. The RNG Company will be expected to resell the RNG and monetize the Renewable Identification Numbers created by the resale of the RNG. The RNG Company will provide MWS a royalty payment as a percentage of the net proceeds generated by the RNG Facility. Background MWS is a department of the Metropolitan Government of Nashville & Davidson County that provides drinking water, among other sewer, stormwater, and waste services, to an area of 402 square miles with an estimated population of over 700,000. The Central Biosolids Facility is located at 1810 Cement Plant Road, Nashville, TN. The Central Biosolids Facility receives solids from the Central Water Reclamation Facility and the Whites Creek Water Reclamation Facility. The CBF thickens, digests, dewaters, and dries the solids to a pelletized form that meets EPA 40CFR503 regulations as a Class A EQ Biosolid. Biogas is a byproduct of the digestion process. The Central Biosolids Facility currently produces an average quantity of about 850 CFM of Biogas with peak flows as high as about 1350 CFM. Average production in the year 2045 is projected to be about 1500 CFM with peaks of about 2,000 CFM. MWS has attached to this solicitation reports from Analytical Testing of the Biogas that were conducted in 2017, 2019, and 2023. MWS makes no guarantees concerning the makeup of the Biogas. It is incumbent upon the awarded RNG Company to exercise all due diligence in conducting its own analytical testing of the biogas for design of the RNG Facility. Facility Location/Land Lease Agreement MWS owns property at 1815 Cement Plant Road. MWS will lease up to 25,000 square feet of this property for the RNG Facility. The potential site for the RNG Facility is presented as an attachment to the solicitation. The final site layout will be negotiated between MWS and the RNG Company during the design phase of the project. The Land Lease Agreement will be executed at the conclusion of the negotiation for the final site layout. The term of the Land Lease Agreement will be 20 years from the projected commissioning of the RNG Facility. Liquidated Damages: This RNG Project will be subject to liquidated damages, Metro will suffer a loss of revenue if the project is not completed within a timely manner. Amounts and milestones for liquidated damages will be determined during contract negotiations. The RNG Company and the RNG Company's surety shall be liable for and shall pay for the loss of revenue resulting from failing to meet contractual milestones. This payment is for liquidated damages and should not be considered a penalty. A Payment and Performance Bond is required for a contract award exceeding $100,000. The awarded firm shall submit a Payment Bond and a Performance Bond as a condition precedent to the notice to proceed. Documentation of bonds shall be in a format acceptable to Metro. Metro reserves the right to issue additional rounds as it deems necessary for the purposes of evaluation. Additional rounds may include, but not be limited to, Offeror interviews. Metro reserves the right to make multiple awards for a contract if it is deemed in the best interest of Metro.
