The Yukon Development Corporation is seeking qualified legal service providers to support a multi-jurisdictional energy infrastructure project with Indigenous partnerships, regulatory approvals, and complex commercial arrangements. Legal expertise is required throughout the full lifecycle of the project, from strategy and initiation to commissioning, in a phased approach. Not all phases may be executed by the Corporation, and future phases may be contracted to a partnership organization. The objective is to establish a list of qualified proponents for future legal advisory and support services which include ensuring compliance, mitigating risk, and successful project delivery. Services may cover strategic planning, procurement, regulatory matters, construction, regulatory structures, commissioning, maximizing returns, operations, and maintenance. Legal services are required across the following phases: 1. Feasibility & Preliminary Design - Regulatory roadmap and permit identification - Legal input on scoping, grouping, cumulative effects, jurisdictional overlap - Land and rights scanning, transactions, acquisitions - Umbrella Final Agreement analysis for land claims and governance 2. Approvals & Permitting - Environmental and socio-economic assessment counsel - Crown consultation and accommodation oversight - Negotiation of Project and Impact Benefit Agreements - Land access and corridor acquisition - Cultural heritage protections - UFA implications for environmental and constitutional law 3. Commercial Structuring & Procurement - Delivery model legal analysis (EPC, EPCM, P3) - Tendering and contracting support - Major contract negotiation, risk allocation and drafting - Insurance, bonds, and guarantees - Competition and antitrust compliance 4. Finance & Funding - Treasury or Management Board submissions, fiscal framework - Contribution and loan agreements - Indigenous equity structures and tax planning - Public accounts and disclosure obligations 5. Construction - Jurisdictional analysis - Contract administration and claims management - Labour relations and OHS compliance - Environmental monitoring and incident response - Site security and cyber obligations Deliverables include: legal memoranda and opinions, draft and negotiated agreements, regulatory filings and hearing support, consultation protocols and records, risk assessments and mitigation strategies, and milestone reports. Legal counsel may be required to coordinate with other contractors and government staff, and site access protocols will be communicated upon contract award. Instructions to bidders include registering as a Plan Taker and submitting responses through the Electronic Bidding System in the required format. Responses must be complete, submitted before the deadline, and follow the requirements, procedures, and terms of service of the Electronic Bidding System. Amendments must be submitted through the same system before closing. Questions are to be submitted in writing through the system before the stated deadline. Respondents are solely responsible for ensuring their submissions are accurate, timely, and in accordance with the RFQ instructions. Failure to comply with instructions or requirements may result in rejection of the response or exclusion from the Prequalification List. No pricing is to be included unless explicitly requested. Respondents should not alter response forms except to insert information where requested. Any additional terms or special conditions included with a response may result in rejection.
