The following general terms and conditions apply to any contract issued hereunder, except where the clauses are self-deleting because of monetary thresholds, or the clause prescriptions. Other provisions, including contract clauses, may be added to individual contract(s) by mutual agreement of the Cuyahoga Metropolitan Housing Authority (CMHA) and the Contractor (see sample concession agreement, Exhibit 1 for additional terms and conditions). It is understood by CMHA and the contractor that, where appearing in the referenced clauses, the terms "Government", "Contracting" "Officer" and named contracting agency shall mean "CMHA", except where the terms "Contractor" and "Subcontractor" are used in a clause where in the normal relationship between parties denoted by these terms is stated or implied. Notwithstanding the above, all audit rights of the Contractor's books and records shall be reserved to the Government. Prospective firms are invited to submit written questions and requests for clarifications regarding this RFP. The questions and requests for clarifications must be in writing and received by CMHA's Purchasing Contract Administrator within seven (7) days before the proposal due date . Oral questions shall not be permitted. If the questions or requests for clarifications pertain to a specific section of the RFP, the page and section number(s) must be referenced. Written responses to questions and requests for clarifications, as, determined feasible by CMHA in its sole discretion, may be answered on or before the date on or before the proposal due date as an addendum to the RFP and issued to all prospective firms that received copies of this RFP. CMHA's written responses will become a part of this RFP. In the event of a timely protest under this Section, CMHA shall not proceed further with the award of the contract until the Director of Purchasing has made a written determination that the award of the contract, without delay, is necessary, to protect the substantial interests of CMHA. After reasonable notice to the person, corporation, or partnership involved, and reasonable opportunity for that person to be heard, the Chief Executive Officer, after consultation with the Department of Legal Affairs, shall have the authority to debar a person for cause from consideration for award of the contracts. The debarment shall not be for a period of more than three (3) years. The Department of Legal Affairs and the Chief Executive Officer shall have the authority to suspend a person from consideration for award of contracts if there is probable cause for debarment. The suspension shall not be for a period exceeding three (3) months. The authority to debar shall be exercised in accordance with this procedure. The debarment process will include applicable due process procedures. The Cuyahoga Metropolitan Housing Authority is seeking to issue a contract for the installation and maintenance of commercial washers and dryers at forty-two (42) various locations throughout the Authority. Each machine that is installed shall be new and in good working condition. The successful vendor will be required to inspect, clean, and repair the equipment at each site and replace any washer and/or dryer as needed. The vendor shall work collaboratively with the property manager to establish a process for refunding any money that is legitimately lost due to the malfunction of the vendor's equipment. The vendor will clean all dry ductwork every six (6) months. The contract term will be for a period of three (3) years with two (2) one-year options. The contract start and completion dates will be coordinated between the successful responder and CMHA. CMHA reserves the right to award this contract to one or more qualified vendors.
