Cape Fear Public Utility Authority ("CFPUA") requests qualifications from Engineering Firms ("Firm") with extensive experience conducting Consolidation Studies for water and
wastewater utilities. The study would address the feasibility of a utility consolidation between CFPUA and the Town of Wrightsville Beach ("TOWB"). Collectively, CFPUA, the Firm, and TOWB are referred to as the "Parties." Although this contract is not contingent upon receiving grant funding from the NC DEQ, it will not begin until the grant application status is resolved. Applications for funding
were due May 2, 2022. CFPUA applied for feasibility study funds on behalf of TOWB. CFPUA has adequate capacity and resources to incorporate TOWB's water and sewer systems into its operations. Both CFPUA and TOWB will be active partners in the feasibility study. If grant funding is not received, CFPUA reserves the right not to pursue the Consolidation Study. CFPUA shall not reimburse any Firm for expenses incurred in preparing proposals in response to this Request for Qualifications. The specifications, terms, and conditions described herein shall be the minimum standard for each, unless a higher standard is established in writing in any contract of the parties. Each Party consents to submit itself to the controlling law and the personal jurisdiction of the courts of the State of North Carolina located in New Hanover County with respect to any dispute arising out of this Contract, including: (i) its validity, construction, and
interpretation; (ii) the rights and remedies of the Parties; (iii) any of the transactions contemplated by this RFQ; and (iv) any matters related to but not covered hereby. In each case to the extent, such court would have subject matter jurisdiction with respect to such dispute, the Parties agree not to attempt to deny or defeat such personal jurisdiction or venue by motion or other request for leave from any such court.
