All prospective proposers are expected to examine the sites prior to submitting a proposal. The submission of a proposal for this contract shall be considered as evidence that the Contractor has examined the site(s) noted existing conditions and/or changes from those shown in these specifications, and shall perform the work for the lump sum and unit prices proposal for this Section. Contractors shall immediately notify the Town of Carmel Engineering Department personnel prior to removing or returning a system to service; Contractors shall perform the services at the designated premises where the generator is located, unless otherwise agreed to by the Town of Carmel Engineering Department; All work shall be completed in a workmanlike manner according to standard practices and any additional specifications provided by the Town of Carmel All parts, materials and supplies used by Contractor shall be new and free of defects; and contractor shall warrant that all repairs and improvements provided as part of the services shall be free of defects in materials and workmanship for a period of one-year from the date of completion of each repair or improvement. This agreement shall be for a term of three (3) years, commencing as of the date of the Contract Execution. The Town of Carmel may terminate this agreement without cause with thirty (30) days prior written notice in writing to Contractor. Such notice shall be sent registered or certified mail, return receipt request, to the address noted on the Proposal Form or may be hand delivered. If hand delivered, the notice shall be effective as of the day of delivery, or, if mailed, on the date of mailing. The Town of Carmel shall have the unilateral option at the sole discretion of the Town to extend the contract for two- one year periods. Where a proposer is requested to submit a proposal on individual items and also on a total sum or sums, the right is reserved to award contracts on individual items, or on total sums; whichever is in the best interests of the Town of Carmel. If two or more proposers submit identical proposals as to price, the decision of the Town Board to award a contract to one of such identical proposers shall be final. (General Municipal Law Section 103(1)) The Town of Carmel (hereinafter sometimes called the "Town") may make such investigation, as it deems necessary to determine the ability and responsibility of the proposer to perform, and the proposer shall furnish to the Town all such information and data for this purpose as the Town may request. The Town reserves the right to reject any proposal if the evidence is submitted by, or investigation of such proposer fails to satisfy the Town, that such proposer is properly qualified and has the financial ability to carry out the obligations of the contract. Question Deadline 04/23/2024 Any and all such interpretation and any supplemental instructions and/or drawing, which, if used, will be in the form of an addenda, emailed to all prospective proposers (at respective email addresses furnished for such purposes) not later than April 26, 2024. Failure of any proposer to receive any such addendum or interpretation shall not relieve the proposer from any obligation under his proposal as submitted. All addenda so issued shall become part of the contract documents.
