Reference Number 0000272116 The Company shall provide refurbishing services to TTC for Alstom Model 5T and General Railway Signal (GRS) Model 13 switch machines, on an as required basis. 1.1.1 The Work shall conform to Original Equipment Manufacturer's (OEM) specifications and standards. Where the Work contradicts and/or extends on the OEM refurbishment specifications and standards, the specifications and standards mentioned herein shall take precedence. 1.2 The Work to be performed by the Company will fall under two (2) distinct categories: 1.2.1 Standard Switch Machine Refurbishment: For each switch machine refurbished, the Company shall replace all parts as specified under Section 3-Standard Switch Machine Refurbishment Scope without assessing the parts to be replaced. The Company shall then proceed to assess the condition of the remaining components of the switch machine, by performing a thorough inspection. Refer to Sub-section 3-Standard Switch Machine Refurbishment Scope for detailed description of services to be performed under this category. 1.2.2 Non-Standard Switch Machine Refurbishment: The Company based on the assessment completed shall determine if the switch machine needs to undergo additional refurbishment and complete the same. The additional refurbishment shall be to repair and/or replace component(s) which were not part of the Standard Switch Machine Refurbishment, to address increased switch machine deterioration. Refer to Sub-section 4 Non-Standard Switch Machine Refurbishment Scope for detailed description of services to be performed under this category. The term of the Contract shall be for one (1) year commencing Q3 of 2024 (approximately), with the option to extend for up to four (4) additional one (1) year terms at the sole discretion of the TTC under the same terms and conditions, subject to acceptable price negotiations and satisfactory performance. Comprehensive General Liability Insurance, which shall include, but not limited to: .1 Contractual liability coverage for liability assumed under GC32 - INDEMNIFICATION; .2 Products and completed operations coverage; .3 Contingent employer's liability coverage, for any claims that might be brought against the TTC by any employee of the Company; .4 Owner's and Company's protective coverage for all subcontracted operations; .5 Sudden and accidental pollution coverage; .6 Non-owned automobile liability; and .7 Cross liability and severability of interests clause. .8 Such insurance shall provide a combined single limit of not less than One Million Dollars ($1,000,000) for any one occurrence or accident for all claims arising out of bodily injury (including death) and damage to the property of others. Such liability insurance shall contain no exclusions in conflict with the character of the Work required to be performed under the Contract and shall include the TTC as an additional insured. .9 Any other valid or collectible insurance available to the TTC shall not apply to any loss until the coverage and limits available under the insurance policies maintained by the Company in accordance with this SC2.1 have been exhausted.
