The Contractor shall perform the Services and provide the Deliverables in accordance with the Specifications, applicable Standards and the terms of this Agreement. The Contractor shall comply with all applicable laws and supply all labor, machinery, equipment, tools, supplies, material, and other services and things necessary to perform the Services. The Contractor must obtain, or assist the City with obtaining, all necessary Government Approvals required for completion of the Services, and perform all obligations promptly and safely in accordance with the customary standard of care applicable to such Services. The Contractor confirms that the individual listed as the Contact Name is entitled to act as its agent in relation to the provision of the Services. The Contractor will perform the Services using only the Personnel named in its Proposal, unless otherwise approved in writing by the City Representative. The Contractor is responsible for all costs and expenses associated with performing the Services and is required to maintain proper records, comply with tax obligations, and adhere to requirements for insurance, indemnity, and workers compensation. Any changes to the Services require prior written approval by the City through a Change Order or Change Directive. The City may terminate the Agreement at its discretion or for default by the Contractor. The Contractor is obligated to maintain confidentiality and avoid conflicts of interest during the term of the Agreement. The Agreement does not create a joint venture or partnership between the parties, and the Contractor acts as an independent contractor solely for providing the Services.
