The Hillsboro R-3 School District reserves the right to accept any offer in part or in whole, to request a new RFP, to reject all offers, or to award any of the items specified herein as it deems to be in its best interest of the School District. By submitting a proposal, the vendor specifically agrees that the decision of the Hillsboro R-3 School District is final and binding. The School Hillsboro R-3 School District reserves the right to be the sole determining party as to which vendor is awarded the Items contract. Should the vendor take exception to any terms, conditions, or specifications stated herein, such exception must be so stated in writing on company letterhead and submitted prior to the RFP opening to Kimberly Jackson, Food Service Director. By submitting a proposal, the vendor agrees to all contents of this RFP. It is the intention of the Hillsboro R-3 School District to provide an equal opportunity to all vendors that comply with the requirements set forth by the School District. All factors will be considered in evaluating each RFP, including, but not limited to; price, service, delivery, references in the school industry, past performances, and prior experience or history with Hillsboro R-3 the School District. The District has the right to terminate this contract with or without cause upon providing thirty (30) days written notice to the Vendor with its intent to terminate. In the event of a cancellation initiated by the Vendor, the Vendor will be required to honor all orders placed prior to the effective date of the cancellation and received within a seven (7) day period subsequent to the effective date of the cancellation. Any orders covered by this clause will be delivered at a price that does not exceed the price set by the contract. When any Vendor fails to deliver any article or service or shall deliver any article or service which does not conform to the specifications, the District may, at its sole discretion, annul and set aside the contract entered into with said Vendor, either in whole or in part, and make and enter into a new contract for the same items in such manner as seems to the District to be to its best advantage. Any failure for furnishing such articles or services by reason of the failure of the Vendor, as stated above, shall be a liability against such Vendor. The District reserves the right to cancel without penalty any articles or services which the successful Vendor may be unable to furnish because of economic conditions, governmental regulations or other similar causes beyond the control of the Vendor provided satisfactory proof is furnished to the District if requested. The interested party hereby covenants and agrees that there is no officer or employee of the District forbidden by law to be interested in the Contract, either directly or indirectly, who will benefit their from. The District and the interested party are independent of one another and shall have no other relationship. Neither party shall have, or hold itself out as having, the right or authority to bind or create liability for the other by its intentional or negligent act of omission, or to make any contract or otherwise assume any obligation or responsibility in the name of or on behalf of the other party. The Contract shall be governed by and construed in accordance with the laws of the State of Missouri. Any litigation or other proceeding arising under the Contract shall be commenced in a court of appropriate subject matter jurisdiction in the State of Missouri, County of Jefferson. The interested party shall cause all persons performing work on behalf of interested party and the District to comply with all instructions pertaining to conduct and building regulations issued by the District. All such persons shall wear readily visible identification mutually satisfactory to the District and the Vendor. The interested party shall cause all such persons to preserve and protect all confidential information of the District to which they may have access during the performance of work.
