This Request for Proposals ("RFP") is an invitation to submit proposals for all Work required in connection with Live Line Engineering Consultation The following terms and conditions shall apply to the performance of the Work by theConsultant: (a) At all times, Consultant shall be subject to the direction and control of Company. (b) Consultant shall complete the Work in an economical and cost effective manner, consistent with accepted practice. (c) Nothing in this Agreement shall be construed as limiting the right of Company to employ directly other advisors, exports, consultants, agents and specialists to provide Company with independent advice in relation to any part of the Work. (d) Consultant shall advise Company of any concessions, permits, licenses, easements and rights-ofway necessary for performance of the Work, and shall either obtain or assist Company in obtaining such concessions, permits, licences, easements and rights-of-way. (e) Company shall demonstrate in the performance of the Work that it is environmentally responsible by complying with all applicable environmental legislation and regulations and taking all reasonable and necessary measures in the performance of the Work to avoid causing negative impactsto the environment. Where negative impacts cannot be avoided, Consultant shall be solely liable to undertake all reasonable and necessary measures to minimize the effect of such negative impacts. (f) Company may specify, from time to time with reasonable notice, any elements of the Work which require review and approval of Company prior to commencement. Where such review and approval is required, Consultant shall prepare and submit to Company a plan or procedures outlining the manner in which such Work will be completed, which plan or procedures shall be in a form acceptable to Company. For greater certainty, approval given by Company in accordance with this section shall not in any way relieve Consultant of any responsibility or liability in respect of Work which is subject to review and approval by Company. Company reserves the right to accept or reject any or all proposals or portions thereof, as well as the right to negotiate with one or more Proponentsto finalize the form and substance of the final agreement. After negotiations are concluded with the successful Proponent, all other Proponents will be notified of the award in writing.
