Notice is hereby given that the City of Conyers, Georgia will sale by sealed bids the following described property "AS IS": +/- 152 Acre Tract Northwest of Transcontinental Pipeline (Tax Parcel No. 089A010003) Said property is located on Centennial Olympic Parkway, Conyers, Rockdale County, Georgia, and is currently zoned Residential-Agricultural. See Exhibit 1 - GIHP Boundary Survey. Said property shall be sold subject to any prior easements or restrictions of record. Said property is part of a larger parcel of land and will be subdivided once based on the acreage of the awarded bid. The City will consider selling the net usable acreage, which is estimated to be +/-111 acres. Net acreage and total purchase price will be determined during the inspection period. However, should the buyer wish to purchase the entire +/- 152 acres, the price per acre will remain the same at $70,000/acre. The City invites all interested parties to submit sealed bids to Brian Frix, P.E., Chief Operating Officer for the City of Conyers, Georgia, at 901 O'Kelly Street, Conyers, Georgia, 30012. The minimum bid for the above property shall be: $70,000/acre. Questions about any aspect of this solicitation shall be submitted in writing (via email) to: brian.frix@conyersga.gov, no later than Friday, January 3, 2025 by 5:00 PM EST. All relevant and significant questions will be answered in writing and issued in an addendum. All addenda, if issued, will be posted to the City's website. The City of Conyers, Georgia will permit all bidders, their agents, employees and representatives to enter upon the Property herein described for the purposes of conducting such tests, inspections, examinations, and surveys that bidder desires. Bidders shall indemnify and hold the City of Conyers, Georgia harmless for any damages resulting from the failure by bidder or the representatives of bidder to exercise reasonable care in the conduct of such tests, inspections, examinations or surveys. Bidder agrees to repair any damage caused to the Property by bidder or any employees and/or agents of the bidder. Bidders shall have the right to examine the title to the Property, at sole cost to bidder, as bidder deems necessary in its sole discretion. Bidders should contact Brian Frix, P.E., Chief Operating Officer for the City of Conyers, Georgia at (770) 785-3704 to secure access to the Property. The following are minimum conditions that must be contained in the proposal to purchase: 1. Each bid shall be in the form of a written contract. 2. A minimum bid for the property shall be $70,000/acre in immediately available funds. 3. The purchase price for the property shall be paid by wire transfer or certified funds at closing. 4. Within five (5) business days of being notified of its acceptable bid, Purchaser shall submit verifiable proof of the existence of the funds for the full purchase price of the property. 5. Within five (5) business days of being notified of its acceptable bid, Purchaser shall pay to the City of Conyers the sum of $35,000.00 as initial earnest money. Upon expiration of the inspection period, buyer shall pay to the City of Conyers an additional $35,000.00 and the total amount of earnest money shall become nonrefundable. 6. The written contract shall include a statement acknowledging Purchaser's agreement to accept conveyance of the Property from the City of Conyers, Georgia by Quitclaim Deed. 7. The written contract shall include a statement acknowledging Purchaser's agreement that the closing for the property and transfer of title for the property shall not occur unless or until the property is rezoned and a Land Disturbance Permit is issued by the City of Conyers. The City of Conyers will be responsible for rezoning the property. 8. The written contract shall include a statement acknowledging Purchaser's agreement that it has not sought and will not seek any tax abatement from any federal, state or local authority that would decrease itstax obligationsto the City of Conyers. 9. The Property will be sold "AS IS." 10. Purchaser shall pay any and all closing costs, including, without limitation, attorney'sfees, brokerage commissions, etc. 11. Bid price shall be net to the City of Conyers with Purchaser bearing all expenses related to testing, title fees, insurance, and other costs. 12. The City of Conyers will not be responsible for the costs of removing any structures or the costs of any improvements or development as a condition to the sale of the Property. 13. The City of Conyers shall choose the closing attorney to conduct the closing. 14. Any events that have already been booked by the City of Conyers for the use of the property through June 1, 2025 must be honored by Purchaser, or Purchaser must be financially responsible for paying any and all cancellation fees, penalties, damages, etc. to said events. 15. Bids must contain a mixed-use new urbanism concept plan that includes at a minimum commercial/retail space, residential homes, public parks, community recreation, and a designated area for a kayak launch. Buyer shall make every effort to preserve existing trail system on the property or reconfigure as approved by the City. 16. Purchaser understands that the City has expended considerable resources to develop a Master Plan for the parcel. As such, the concept plan submitted for consideration shall closely match that of Exhibit 2 - Concept Site Plan included in this document. 17. Bids must contain conceptual renderings to assist in visualizing the proposed architecture and design of the community. 18. The written contract shall include a statement acknowledging Purchaser's agreement that: (a) while the property is undeveloped, the City of Conyers shall have the right of firstrefusal to re-purchase the property from Purchaser at the bid price, and (b) once the property begins to be developed up until the point that the property has been completely developed in accordance with the master plan as approved by the City, the City of Conyers shall have the right of first refusal to re- purchase the remaining undeveloped property from Purchaser at 50% of fair market value then existing. THE CITY OF CONYERS, GEORGIA SHALL HAVE THE RIGHT TO NEGOTIATE WITH THE MOST RESPONSIVE AND RESPONSIBLE BIDDER OR TO REJECT ANY AND ALL BIDS AND/OR TO CANCEL ANY PROPOSED SALE.
