The Board of Water Works Trustees of the City of Des Moines, Iowa ("Des Moines Water Works" or "Water Works" or "DMWW") will contract the turf maintenance of approximately 63 acres for 20 Des Moines Water Works' Remote Facilities. Turf maintenance activities shall include litter collection and disposal, grass mowing, grass trimming, and edging. The undersigned hereby proposes to furnish to Water Works, all the necessary machinery, tools, and labor, at the price hereinafter set out, for Turf Maintenance Services - Remote Facilities. The Contract will be awarded based on an evaluation of price and qualifications to the Contractor who, in the judgment of Des Moines Water Works, offers the proposal that is in the best interests DMWW The contract term will be for the remainder of calendar year and shall automatically renew for two (2), one (1) year renewal terms, unless either party provides written notice to the other of that party's decision not to renew no fewer than thirty (30) days prior to the expiration of the term or renewal term, as the case may be; provided that Water Works may terminate this Agreement on thirty (30) days' prior written notice to Contractor at any time for any reason or no reason. Water Works shall have the right to terminate this Agreement upon 5 days written notice in the event that Water Works reasonably deems the Contractor's background or performance not to be in the best interests of the Water Works. Contractor has the option to negotiate an increase in price up to 5% annually over the original contract price for each annual renewal. The Water Works reserves the right to reject any or all proposals, to waive informalities in any proposal and to accept the proposal which it determines to be in the best interest of the Water Works. The Water Works reserves the right to defer acceptance of any proposal for a period not to exceed sixty (60) calendar days from the date of receipt of bids.
