Purpose The purpose of this Agreement is to set forth the terms and conditions under which Contractor is to provide trash services. Contractor agrees to provide to the California Department of Transportation (Caltrans) all labor, trash bins, equipment, travel, and incidentals, and to pay all associated costs, fees (including disposal fees), and taxes, necessary to provide on call, as-needed trash collection, hauling, and disposal services as described herein. 2. Subcontracting Subcontracting is not permitted under this Agreement. All references to subcontracting or subcontractors as found herein are not applicable to this Agreement. 3. Location The services shall be performed at the following locations within Fresno, Madera, and Tulare Counties: A. Coalinga-Avenal Safety Roadside Rest Area (SRRA) Northbound Interstate 5, Post Mile (PM) 1.306, Fresno County B. Coalinga- Avenal SRRA Southbound Interstate 5, PM 1.306, Fresno County C. Mendota Maintenance Station (MS), 1301 Belmont Ave, Mendota, CA 93640, Fresno County D. Madera MS, 125 West Almond Avenue, Madera, CA 93637, Madera County E. Coarsegold MS, 35500 Highway 41, Coarsegold, CA 93614, Madera County F. Visalia MS, 15337 Avenue 296, Visalia, CA 93291, Tulare County G. Phillip S. Raine SRRA Northbound State Route (SR) 99, PM 22.239, Tulare County H. Phillip S. Raine SRRA Southbound SR 99, PM 22.73, Tulare County I. Chester H. Warlow SRRA Northbound SR 99, PM 51.80, Tulare County J. Tulare MS, 1250 East San Joaquin Avenue, Tulare, CA 93274, Tulare County 4. All references to Caltrans Contract Manager in this Agreement shall include their designee. 5. Term This Agreement will commence on July 1, 2025 (estimate), or upon approval by the Department of General Services (DGS), whichever is later, and no work shall begin before that time. This Agreement is of no effect unless approved by DGS. Contractor shall not receive payment for work performed prior to approval of the Agreement and before receipt of notice to proceed by Caltrans Contract Manager. This Agreement will expire on June 30, 2028 (estimate). Except in emergencies, the services shall be provided during normal working hours of 7:30 a.m. to 4:00 p.m., Monday through Friday, except holidays. On occasion, Contractor may be required to provide services outside of normal business hours, including on weekends and holidays, to complete emergency services, as determined in the sole discretion of Caltrans Contract Manager. The parties may amend this Agreement as permitted by law.
