Renovation of a mixed-use development in Napa, California. Completed plans call for the renovation of a educational facility.

The Governing Board (the "Board") of the Napa Valley Unified School District (the "District" or "Owner") is seeking qualifications and proposals from qualified providers of lease-leaseback construction services ("Contractors") for the construction of the roofing, HVAC, and painting work of improvement (the "Work") which is part of the Napa HS & Vintage HS Campus Modernizations and/or Stone Bridge School and Redwood MS Campus Modernizations project ("Project") within the District. The agreement, site lease, and sublease for the Work (the "Contract Documents," or the "Contract") will be awarded by the Board under the provisions of Education Code section 17406. A proposing contractor with an A or B license and any MEP contractor (whether a proposing contractor or subcontractor listed in the proposal) must be prequalified pursuant to Education Code section 17406(a)(2)(C) and Public Contract Code section 20111.6(b) through (m) prior to submitting a proposal. (See Sections IV.E and IX.E., below.) An "MEP contractor" is one who will perform work that requires one of the following classes of license: C-4, C-7, C-10, C-16, C20, C-34, C-36, C-38, C-42, C-43, or C-46. If a contractor is not prequalified to submit a proposal for the Contract at least five (5) business days before the proposal deadline and at the proposal deadline, Owner will not accept the proposal. Any subcontractors listed in a proposal for Work requiring one of the above "C" licenses must be prequalified at least five (5) business days before the proposal deadline and at the proposal deadline, or Owner will not accept the proposal. To be prequalified for the Contract, prequalification application packets must be completed and submitted by September 10, 2025. Contractors are encouraged to submit prequalification packages earlier than the deadline so that they may be notified of prequalification status well in advance of any applicable proposal deadline. Prequalification Applications Due: September 10, 2025. Prequalification applications are available via qualitybidders.com. The District plans to construct the Work, which are roofing, HVAC, painting, and site improvements on a District-owned site located at the sites listed below in Napa, Napa County, California, and the District is soliciting proposals for the construction of the Work. The District has retained PBK Architects as its architect for the Contract ("Architect") for Project 1. The District has retained Quattrocchi Kwok Architects and HKIT Architects as its architects for the Contract ("Architect") for Project 2. DSA approval of the plans and specifications for the Contract has not yet been issued, but will be obtained after award of the Lease-Leaseback Agreement. Any preconstruction services in the Lease-Leaseback Agreement may be performed before DSA approval, but the Work may not commence until DSA approval is received by the District, all preconstruction services are complete, the subcontractors are selected, and the Total Sublease Amount is approved by the District's governing board. Current plans and specifications may be obtained from the Architect. No District project labor agreement applies to this contract. The District preliminarily estimates that the Total Sublease Amount for the Contract will be Twenty-Eight Million Dollars ($28,000,000) for Project 1 and Seventeen Million Five Hundred Thousand Dollars ($17,500,000) for Project 2. This estimate is based solely on the Architect's most recent estimate of the total Contract costs and is subject to change. The Scope of Work is the construction of the Napa HS & Vintage HS Campus Modernizations (Project 1) and/or Stone Bridge School & Redwood MS Campus Modernizations (Project 2). Project 1: Napa HS - Roof replacement, HVAC replacement, exterior painting, fire alarm replacement, and removal of portable classrooms and associated sitework Vintage HS - Roof replacement, HVAC replacement, exterior painting, and fire alarm replacement Project 2: Stone Bridge School - Roof replacement, HVAC replacement, exterior painting, and fire alarm replacement Redwood MS - Roof replacement, HVAC replacement, exterior painting, fire alarm replacement, and removal of buildings and associated sitework The Contractor whose proposal is determined to offer the best value to the District pursuant to this RFPQ must execute the Lease-Leaseback Agreement, the Site Lease, and the Sublease prior to the Board's award of the Contract to Contractor. All Work must have DSA approval prior to calculation of the Total Sublease Amount (see Section III.D.1, above). During the Work, the Contractor shall ensure that all Work, including but not limited to Work performed by Subcontractors, is performed in compliance with all applicable legal, contractual, and local government requirements related to the novel coronavirus and COVID-19, including "social distancing," masks, and hygiene as may be ordered by the State or local authorities and as may be directed in the Contract Documents. Each proposing contractor must include in its proposed percentage fee all costs related to these requirements in effect at the time of proposing. If additional COVID-19 requirements are imposed after the proposal and the Contractor believes that it is entitled to additional time or money, it must timely submit proper requests pursuant to the Contract Documents. Prior to approval of the Total Sublease Amount, the District will require the Contractor to achieve the minimum goal of 3% DVBE (Disabled Veteran Business Enterprises) established in the contract documents, or to provide acceptable evidence of good faith efforts to do so. The DVBE Certification must be submitted prior to approval of the Total Sublease Amount; and the DVBE Worksheet must be submitted with the DVBE Certification if Box D is checked on the first page of the DVBE Certification. Pursuant to the Contract Documents, the successful proposing Contractor will be required to furnish a Payment (Labor and Material) Bond in the amount of one hundred percent (100%) of the Total Sublease Amount, and a Faithful Performance Bond in the amount of one hundred percent (100%) of the Total Sublease Amount, said bonds to be secured from Admitted Surety insurers (an insurance organization authorized by the Insurance Commissioner to transact business of insurance in the State of California during this calendar year). If yes, explain on a separate signed page, identifying all such projects by owner, owner's address, the date of completion of the project, amount of liquidated damages assessed, levied, or withheld by the owner, the amount of liquidated damages at issue, and all other information necessary to fully explain the assessment, levy, or withholding of liquidated damages. Question Deadline 09/17/2025 at 5:00 PM PT - Any question or suggested edit must be submitted by a proposing Contractor The Owner may only respond to a question or suggested edit by issuing a written addendum by September 19, 2025. If the Owner does not timely respond to a question or suggested edit, then the question or suggested edit shall be deemed as having been rejected by the Owner. The Board reserves the right to postpone or cancel the award, or to reject all proposals. The District reserves the right to reject any or all proposals, or waive any irregularities, or any failures to comply with the Contract Documents, in any of the proposals submitted pursuant to this RFPQ. If awarded, the Contract (including all three of the agreements; see Exhibits D, E, and F) shall be awarded to the responsive and responsible Contractor with the highest best value score.
