The City of Tucson (City) intends to establish a contract with a contractor with the ability to provide pre-manufactured Disinfection Containment Vaults, as per the Scope of Work, Attachment E. Design Drawing, and Attachment F. Special Conditions. The City intends to award the contract to the most responsive, responsible bidder based on grand total price. The City will place an initial order for a minimum of five (5) vaults. The City may place additional orders of up to ten (10) vaults per year in increments of five (5), for the next five (5) years. PRE-SUBMITTAL MEETING DATE: NO PRE-SUBMITTAL MEETING SCHEDULED 4.19. AWARD OF CONTRACT Unless otherwise provided within the IFB, the City reserves the right to award by individual line item, by group of line items, or as a total, whichever is deemed most advantageous to the City. The City may make positional awards; if positional awards are made, post award modifications to award position may be considered based upon price increases during the term of the contract. Notwithstanding any other provision of the Invitation for Bid, the City reserves the right to: waive any immaterial defect or informality; or reject any or all bids, or portions thereof; or reissue an Invitation for Bid. A response to the Invitation for Bid is an offer to contract with the City based upon the terms, conditions, and Specifications contained in the City's Invitation for Bid. Bids do not become Contracts unless and until they are executed by the City's Director of Business Services and City Attorney. A Contract has its inception in the award, eliminating a formal signing of a separate Contract. All of the terms and conditions of the Contract are contained in the Invitation for Bid, unless any of the terms and conditions are modified by an IFB Amendment, a Contract Amendment, or by mutually agreed terms and conditions in the Contract documents. The quantities shown are estimates only and the City reserves the right to increase or decrease amounts as circumstances may require. The term of the Contract shall commence upon award and shall remain in effect for a period of one (1) year, unless terminated, canceled or extended as otherwise provided herein. The Contractor agrees that the City of Tucson shall have the right, at its sole option, to renew the Contract for four (4) additional one-year periods or portions thereof. In the event that the City exercises such rights, all terms, conditions and provisions of the original Contract shall remain the same and apply during the renewal period with the possible exception of price and minor scope additions and/or deletions. No provision in this Contract acts expressly or by implication as a waiver by either party of any existing or future right and/or remedy available at law in the event of any claim, default or breach of contract. If either party fails to insist upon the other's strict performance of any duty or condition under this Contract or fails to exercise or delays in exercising any right or remedy provided in this Contract or by law, or accepts nonconforming materials or services, that party will not be deemed to have waived its right to insist thereafter upon the strict performance of the Contract.
