Bids will be awarded at 1525 Rock Haven Road, Newark, OH 43055 on April 1, 2024 at 6:00PM. The contractor shall furnish all materials, labor, and insurance to complete the work detailed in these specifications, or reasonably therein, to the satisfaction of the Board. The Mowing season is defined at April 01 until November 30. The contractor shall maintain Public Liability Insurance adequate to provide full coverage for any one accident of not less than $1,000,000.00 for bodily injury and property damage on any one occurrence with an aggregate of not less than $2,000,000.00. A certificate of coverage shall be provided before the execution of the agreement. To the fullest extent permitted by law, the contractor shall indemnify and hold harmless Hanover Township, the Board, and its agents, officers and employees from and against all claims, damages, losses and expenses, including, but not limited to, attorneys' fees, arising out of or resulting from the performance of the work described in the agreement. In any and all claims against Hanover Township, the Board, or any of its agents, officers or employees by any employee of the contractor, any subcontractor, anyone directly or indirectly employed by any of them or anyone for whose acts any of them may be liable, the indemnification obligation under this Paragraph shall not be limited in any way by any limitation on the amount or type of damages, compensation or benefits payable by or for the contractor or any subcontractor under workers' or workmen's compensation acts, disability benefit acts or other employee benefit acts. The contractor shall assume all responsibility for damage done to structures, property, markers, signs or personal injury during the performance of the work. CONTRACT TERMS and PAYMENT The Contract term shall be for the specified contract term beginning April 1, 2024 and ending December 31, 2025. Payment will be made once per month during which work has been performed. All charges shall specify which work has been performed. Lack of adherence to this requirement may result in delay of payment until a properly submitted bill is received by the Board. The Board reserves the right to terminate the agreement ten (10) days after written notice is provided to the contractor at any time and for any cause that it deems fit. The determination of cause for early termination shall rest solely with the Board. If Contractor fails to perform duties, the Township may by resolution order contractor to pay out the remaining months of the contract. At the discretion of the Board, and prior to the date of termination, the contract may be extended for the 2026 and 2027 Mowing Seasons. Not later than thirty (30) days prior to the termination date, the Board may provide Contractor written notice of its desire to extend the term of the contract. Within twenty (20) days of the delivery of such notice, Contractor shall identify whether it agrees to the extension of the term and shall propose a new bid price to apply during the 2026 and 2027 Mowing Seasons, which new bid price shall not exceed 110% of the bid price applicable during the 2024 and 2025 Mowing Seasons. If such price and extension is acceptable to the Board, the parties shall amend this contract in writing to identify the rate applicable during the extended term; and the Contract will thereafter terminate at the expiration of the 2027 Mowing Season (December 31, 2027). If the Board chooses not to extend the Contract for the additional term, this Contract will expire on December 31, 2025. The Board reserves the right to reject any or all bids and to accept the bid determined by the Board to be the lowest responsible bid. Proposals shall be completed and enclosed in two sealed envelopes. The inner envelope shall be clearly labeled with the owner s name, project name, name of bidder and date and time of proposal opening.
