All applicants are advised that the City makes no guarantee as to the amount of work to be generated by this agreement. The City will contract, at its option, with multiple firms. Contractors will be called, based on the City's specific needs and based on the amount of equipment, crews and their respective prices stated in the application. The length of the contract will be from the date of its signing through October 31, 2026. Prior to any payment, the CITY reserves the right to require Waivers of Lien for materials and labor from the CONTRACTOR and its subcontractors and suppliers guaranteeing One Hundred Percent (100%) performance, free and clear from all liens and encumbrances. Any mechanic's lien or any other lien which may be filed against the premises which are the subject of this Agreement by reason of the Work described herein shall be defended (by counsel reasonably acceptable to the CITY) and promptly discharged by the CONTRACTOR at its own expense. The CITY may require the CONTRACTOR to provide a bondsatisfactory to the CITY to indemnify it against any lien and as a substitution in place of a lien. If the CONTRACTOR should fail either to defend the CITY against the lien or todischarge it, then the CITY may do so at the CONTRACTOR's expense. In the event of such an undertaking by the CITY, the CONTRACTOR will promptly reimburse the CITY for all its costs and expenses in so doing, including, but not limited to, reimbursement of the CITY's reasonable counsel fees, as well as costs which may be incurred by it in substituting a bond in place of a lien. CONTRACTOR's obligations under this paragraph shall survive termination of this Agreement. Where applicants are required to enter or go into the City property to inspect, deliver materials or perform work or services as a result of the Invitation, or as a result of a contract award, the applicant and his or her agents will assume the full duty, obligation and expense of obtaining all necessary licenses, permits and insurance as required. All questions must be submitted in writing to the Purchasing Office and be received no later than five working days prior to the scheduled opening date - these may be mailed, hand delivered, faxed to 207-874-8652, or e-mail slchapin@portlandmaine.gov . The City reserves the right to waive any informalities in bids, to accept any bid or portions thereof (bidders are advised to note this and quote accordingly) and to reject any or all bids should it be deemed for the best interest of the City to do so.
